1. Introduction
We would like to welcome you (Vendor / Client) to the aiCopilotX Platform. By accessing and using our platform, you agree to the terms and conditions outlined in this document. These terms and conditions form a legally binding agreement between you and aiCopilotX.
2. Scope of Services
aiCopilotX is a platform that connects buyers and sellers around the globe to provide customers with products, services and solutions. While we strive to maintain high ethical standards, we do not guarantee the accuracy of the information provided by sellers. It is the responsibility of buyers to conduct their own due diligence before making a purchase.
3. Fees and Payments
We do not charge any fees to buyers for using our platform. However, sellers and service providers may be required to pay fees for marketing, advertising, platform usage, and the sale of their products. The fee structure will be discussed and approved by both parties in writing or accepting one or more of the subscription packages. We reserve the right to remove any partner listing from our website at any time without notice.
4. Non-Disclosure Agreement
4.1 The Vendor / Client agrees to maintain the confidentiality of any confidential information disclosed by aiCopilotX during the course of this Agreement.
4.2 The Vendor / Client shall not disclose any confidential information to any third party without the prior written consent of aiCopilotX.
4.3 The obligations of confidentiality shall survive the termination or expiration of this Agreement.
5. Term and Termination
5.1 This Agreement shall commence on the date of registration on the aiCopilotX Platform and shall continue until terminated by either party.
5.2 Either party may terminate this Agreement by providing written notice to the other party.
5.3 Upon termination, the Vendor / Client shall cease providing services through the aiCopilotX platform, directory, marketplace, advertisement, and any outstanding fees or payments shall be settled according to the agreed-upon terms.
6. Governing Law and Jurisdiction
6.1 This Agreement shall be governed by and construed in accordance with the laws of the state of California.
6.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Alameda County Court of the state of California.
7. Entire Agreement
7.1 This Agreement constitutes the entire agreement between aiCopilotX and the Vendor / Client and supersedes all prior agreements, understandings, or representations, whether oral or written.
7.2 Any modifications or amendments to this Agreement must be made in writing and signed by both parties.
8. Additional Provisions
8.1 Indemnification: Vendors / Client agree to indemnify, defend, and hold harmless aiCopilotX from any claims, damages, losses, or expenses arising out of or related to their participation in the marketplace.
8.2 Intellectual Property: Vendors / Clients retain all rights to their intellectual property. However, by listing products and services on aiCopilotX, Vendors grant aiCopilotX a non-exclusive, worldwide, royalty-free license to use, display, and promote their listings.
8.3 Compliance with Laws: Vendors / Clients agree to comply with all applicable laws and regulations related to their participation in the aiCopilotX marketplace.
8.4 Customer Support Services: Vendors / Clients agree to provide support services directly to customers and handle all customer inquiries, complaints, and issues. All communications’ data shall be provided to aiCopilotX during any disputes to ensure transparency and resolution.
8.5 Policies and Rules: Vendors shall publish their policies and rules on the marketplace in their designated area within their stores. This includes return policies, warranty information, and any other relevant terms that customers need to be aware of.
9.0 Consent for 3-Months Trial Period
9.1 Trial Period: The trial period is to provide the Customer the opportunity to evaluate the AI-driven platform that aiCopilotX develops or has developed for the clients and customers.
9.2 Fees: The agreed monthly subscription fee, which will be invoiced to the Customer, is non-refundable.
9.3 Results: There is no guarantee on the actual results; however, aiCopilotX aims to generate the desired outcome.
9.4 Cancellation: The Customer may cancel the project after 3 months of efforts without any reason.
9.5 Privacy Policy and Terms and Conditions: aiCopilotX’s Privacy Policy and Terms and Conditions apply.
9.6 Confidentiality: Both parties agree to keep all information related to the platform, including but not limited to, technical specifications, business strategies, and customer data, confidential. This confidentiality obligation will survive the termination of this Agreement.
9.7 Limitation of Liability: aiCopilotX and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) the Customer’s use of the platform; (b) any unauthorized access to or use of aiCopilotX’s servers and/or any personal information stored therein; © any interruption or cessation of transmission to or from the platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the platform; and/or (f) the defamatory, offensive, or illegal conduct of any third party.
9.8 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
