Applies to: Zamzilla LLC, SnapOpportunity.com, aiCopilotX.com, and all platforms developed, hosted, or managed by Zamzilla.
1. Introduction
By accessing aiCopilotX, a Zamzilla’s platform, you agree to these Terms and Conditions, forming a legally binding agreement between you and Zamzilla LLC. These terms apply to all subscription-based platforms, marketplaces, directories, and services developed or operated by Zamzilla.
2. Scope of Services
Zamzilla develops AI-powered Business-as-a-Service (BaaS) platforms that connect buyers and sellers globally. While we uphold high ethical standards, users are responsible for their own due diligence.
3. Fees and Payments
- Buyers are not charged for platform access.
- Sellers and service providers may incur fees for marketing, platform usage, and subscriptions.
- All fees are non-refundable unless otherwise agreed in writing.
4. Confidentiality
Both parties agree to maintain the confidentiality of proprietary, technical, and strategic information. This obligation survives termination.
5. Term and Termination
This agreement begins upon registration and continues until terminated by either party. Upon termination, services cease and outstanding balances must be settled.
6. Governing Law
This agreement is governed by the laws of California. Disputes shall be resolved in Alameda County Court.
7. Entire Agreement
This document supersedes all prior agreements. Amendments must be mutually agreed upon and signed by both parties.
8. Additional Provisions
8.1 Mutual Indemnification
Both parties agree to indemnify and hold each other harmless from claims arising from their respective actions or omissions.
8.2 Intellectual Property
Clients retain rights to original content. Zamzilla retains rights to AI-generated content created during the subscription period.
8.3 Compliance
Clients agree to comply with all applicable laws and regulations.
8.4 Customer Support
Clients are responsible for direct customer support and agree to share relevant communications data with Zamzilla for dispute resolution.
8.5 Store Policies
Clients must publish clear policies (returns, warranties, etc.) within their platform space.
9. Subscription Model
- Access is subscription-based.
- Paused or canceled subscriptions may result in service suspension.
- Platform ownership remains with Zamzilla; data is shared as part of the service.
10. Consent for 3-Month Trial Period
10.1 Trial Period
The trial allows clients to evaluate Zamzilla’s AI-driven platform.
10.2 Fees
Monthly subscription fees are non-refundable.
10.3 Results
No guaranteed outcomes, but Zamzilla aims to deliver value.
10.4 Cancellation
Clients may cancel after 3 months without cause.
10.5 Privacy & Terms
Zamzilla’s Privacy Policy and these Terms apply.
10.6 Platform Access and Use
a. The Partner shall not receive direct access to ZAMZILLA’s proprietary systems, including source code, data models, backend infrastructure, or administrative tools.
b. ZAMZILLA will provide lead data through secure methods such as dashboards, APIs, or periodic reports, as mutually agreed.
c. The Partner shall not interfere with the platform’s functionality or attempt unauthorized access.
10.7 Intellectual Property & Confidentiality
a. All technology, algorithms, software, data, trade secrets, and intellectual property relating to the platforms developed and hosted by Zamzilla remain the exclusive property of Zamzilla.
b. The Partner shall not replicate, reverse engineer, decompile, or create derivative works from the platform or Zamzilla’s methodologies.
c. The Partner shall not develop, support, or engage in competing AI-based platforms or platform services during the term of this Agreement and for 12 months following termination.
d. Both Parties agree to maintain confidentiality regarding all non-public information shared during this Agreement, including leads, client data, strategies, and technical information.
e. All platform-related IP is owned by Zamzilla and/or its licensors.
f. Client’s imported content remains the client’s property and may be removed upon termination.
g. Content generated by Zamzilla’s AI remains the property of ZAMZILLA unless otherwise agreed.
10.8 Limitation of Liability
Zamzilla is not liable for indirect or consequential damages, including data loss, service interruptions, or third-party misconduct.
11. Data Sharing and Privacy
By using the platform, clients consent to data sharing and processing as outlined in the Privacy Policy.
13. Service Termination
Zamzilla may suspend or terminate access for violations of these terms or platform policies.
14. Modifications to Terms
14.1 Amendments
Zamzilla may update these terms with 30 days’ notice. Continued use implies acceptance.
14.2 Governing Law
This agreement is governed by California law, without regard to conflict-of
